1.1. Hudson White: Refers to the registered company, Hudson White PTY LTD, operating in South Africa under registration number 202612535307. The directors’ identities are kept private for security and privacy purposes but may be disclosed upon valid legal or compliance request. Hudson White is the parent company for the TutorSyn brand, under which all online educational services are provided.
1.2. Platform: Denotes the TutorSyn website (tutorsyn.com) and all its associated online services, including courses, certification exams, and related content.
1.3. User: Any individual or entity accessing, purchasing, or using the Platform.
1.4. Address Disclosure: Hudson White operates exclusively online. The company’s registered business address is the owner’s private residential address. As such, it is not publicly disclosed to maintain privacy. However, in compliance with applicable legal requirements, the business address can be provided upon request, provided a valid reason is given.
1.5. Additional Agreements: By accessing or using the Platform, you acknowledge and agree that you are also bound by the Legal Waiver, User Agreement, and Disclaimer, which are incorporated herein by reference.
2.1. Purpose: The Platform provides online educational content for informational and self-improvement purposes only.
2.2. Accreditation: Courses and certifications are not accredited by any national or international regulatory body unless explicitly stated.
2.3. User Responsibility: Users are solely responsible for evaluating the suitability of the knowledge and skills gained for their personal or professional requirements. No guarantees of specific outcomes, employment, or career advancement are provided.
2.4. Content Modifications: Hudson White reserves the right to update, modify, suspend, or discontinue any content or functionality at any time without prior notice.
2.5. AI-Generated Content: Portions of course materials or exam content may be generated or assisted by artificial intelligence. Hudson White is not liable for any inaccuracies, misinterpretations, or outcomes resulting from AI-generated content.
3.1. Finality of Purchases: All course and exam purchases are final and non-refundable, with no exceptions unless explicitly stated in a promotional offer.
3.2. Access Duration: Upon successful payment, Users receive access for one month from the purchase date unless stated otherwise. Hudson White reserves the right to revoke or suspend access for violations of these Terms.
3.3. Refund Policy: Users acknowledge that no refunds will be issued under any circumstances once access to a course or exam has been granted.
3.4. Payment Processing: Payments are processed securely, and Hudson White does not store credit card or payment details.
4.1. Assessment: Completion of a course does not guarantee success in certification exams. The exams are intentionally rigorous with a low pass rate, and Users should not expect guaranteed success.
4.2. Monitoring: Exams are subject to rigorous proctoring measures, and Users consent to these practices.
4.3. Certification: Certifications are issued solely by Hudson White and may not hold recognized value in the job market unless otherwise stated.
4.4. Misuse: Hudson White is not liable for any misuse of its certifications or any representations made by third parties regarding their value.
5.1. Hudson White is not responsible for any representations, claims, or promises made by third parties who refer Users to the Platform. Users acknowledge that only the information explicitly provided by Hudson White should be relied upon.
6.1. “As Is” Provision: The Platform is provided on an “as is” basis without warranties of any kind.
6.2. Liability Cap: Hudson White shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the Platform, including but not limited to financial losses, reputational harm, business disruptions, or data breaches.
6.3. Legal Immunity: By using the Platform, Users agree to waive any right to file a lawsuit against Hudson White or its affiliates. All claims or disputes shall be resolved solely through internal arbitration administered by Hudson White, ensuring near-complete legal immunity for the Company.
6.4. Dispute Resolution: Any disputes arising from the use of the Platform shall be settled outside of court at Hudson White’s sole discretion. Users waive any rights to class-action lawsuits, arbitration proceedings, or regulatory investigations.
6.5. Indemnification: Users agree to indemnify, defend, and hold Hudson White harmless from any claims, losses, liabilities, or damages arising from their use of the Platform.
7.1. Users shall not engage in any unethical, illegal, or disruptive behavior on the Platform.
7.2. Unauthorized sharing of login credentials, course materials, or exam content is strictly prohibited. Violators will be subject to immediate termination of access without refund.
8.1. Data Collection: Hudson White collects and stores only the necessary personal data required for the functionality of the Platform.
8.2. Data Usage: Collected data is used solely for internal analytics and is not shared with third parties beyond necessary service providers.
8.3. Cookies: The Platform uses cookies to enhance user experience. By accessing the Platform, Users agree to the use of cookies in accordance with our Privacy Policy.
8.4. No Personal Liability: The Owner and employees of Hudson White bear no personal liability for data breaches, hacking incidents, or unauthorized data access.
9.1. Modifications: Hudson White reserves the right to modify these Terms at any time without prior notice. Continued use of the Platform constitutes acceptance of the latest version of these Terms.
9.2. Acceptance: By accessing, browsing, or using the Platform, or by explicitly clicking an “Accept” button during signup or other interactions, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the Additional Agreements (Legal Waiver, User Agreement, and Disclaimer). Your acceptance is deemed effective regardless of whether it is conveyed explicitly through a click or implicitly through your continued use of the Platform.
9.3. Binding Agreement: These Terms are legally binding, and by using the Platform, you waive any right to contest their enforceability.
10.1. Program Overview:
Hudson White offers an affiliate program allowing registered users (“Affiliates”) to earn commissions by referring new customers to the Platform. Participation in the program is voluntary and governed strictly by these Terms and any additional guidelines or agreements provided by Hudson White.
10.2. Independent Contractor Status:
Affiliates operate as independent contractors. Nothing in these Terms creates a partnership, employment, or agency relationship between Hudson White and any Affiliate. Affiliates shall not represent themselves as employees or authorized agents of Hudson White under any circumstances.
10.3. Eligibility and Registration:
Participation is subject to approval by Hudson White. The Company reserves the right to reject or revoke affiliate access at its sole discretion, without explanation or liability.
10.4. Promotional Guidelines:
Affiliates must promote the Platform ethically, lawfully, and without misrepresentation. False claims, misleading comparisons, unauthorized discounts, impersonation, and spam marketing are strictly prohibited and will result in immediate termination of affiliate privileges and forfeiture of any unpaid commissions.
10.5. Commission Structure and Payouts:
Affiliates may earn a percentage-based commission on qualifying purchases made through their unique referral links. The specific commission rate and payment terms are outlined in the Affiliate Dashboard and are subject to change at Hudson White’s sole discretion, without prior notice.
10.6. Payment Conditions:
Payouts are only issued for valid referrals once the refund window (if any) has lapsed. Hudson White retains the right to withhold, adjust, or cancel payments in cases of suspected fraud, chargebacks, policy violations, or user manipulation.
10.7. Tax Obligations:
Affiliates are solely responsible for complying with any applicable tax regulations in their jurisdiction. Hudson White does not withhold or remit taxes on behalf of Affiliates and shall not be held liable for any tax-related issues arising from affiliate income.
10.8. No Guarantee of Earnings:
Participation in the affiliate program does not guarantee earnings. Results vary and depend on individual effort and strategy. Hudson White provides no warranty regarding financial success through the program.
10.9. Intellectual Property:
Affiliates are granted a non-exclusive, non-transferable license to use Hudson White brand assets (logos, images, text) solely for the purpose of promoting the Platform. Misuse or unauthorized modifications will result in termination and potential legal action.
10.10. Termination:
Hudson White reserves the right to terminate any Affiliate account at any time, with or without cause, notice, or liability. Upon termination, any unpaid commissions may be forfeited at Hudson White’s discretion if earned in violation of these Terms.
10.11. Limitation of Liability (Affiliate-Specific):
Hudson White is not liable for any direct or indirect damages, loss of earnings, or reputational harm resulting from participation in the affiliate program. Affiliates agree to waive all rights to claims, lawsuits, or disputes against Hudson White related to the affiliate program, including commission calculations, promotional strategies, or termination decisions.
10.12. Dispute Resolution:
Any disagreement regarding affiliate participation, earnings, or program terms shall be resolved solely and finally through internal arbitration by Hudson White. Affiliates agree not to initiate or participate in external legal proceedings, class actions, or regulatory complaints.
10.13. Program Modification:
Hudson White may modify, pause, or terminate the affiliate program at any time without prior notice. Continued participation after modifications constitutes acceptance of the updated terms.
